Established in 1936, Niederer Kraft & Frey

Banking and finance
Banking and finance is a core practice of NKF.
Recent instructions include:
adviser to the Swiss National Bank on its
regulations on own-account trading;
counsel to EFG on the first issue of Basel
III-compliant bonds with a point of non-
viability feature by a non-systemically
important financial institution bank in
counsel to many Swiss and foreign banks
on Swiss regulatory and banking law
matters and legislative changes, including
regarding Basel III, ‘too big to fail’ and
collective investments; and
legal adviser to borrowers and lending
banks in numerous syndicated and bilateral
loan transactions.
Capital markets
NKF has been instrumental in the development
of the Swiss capital markets. Over the past
three decades, NKF has advised essentially
all relevant domestic and foreign market
participants. Recent instructions include:
counsel to Qatar Holding in complex equity
investment in Credit Suisse;
adviser of SwissRe’s $10 billion euro
medium-term note programme;
counsel to Credit Suisse in two novel
securitisations of a Swiss car leasing
portfolio and Swiss credit card receivables;
issuer’s counsel in the initial public offering
of EFG Financial Products.
As a full-service firm, NKF covers all aspects
of commercial law. In addition to general
commercial, NKF practice groups provide
specialist advice regarding competition law,
intellectual property, employment, real estate
and telecommunications, media and
technology and outsourcing. NKF advises
many industry leaders in these practice areas.
NKF regularly advises private and public
companies, investment banks, private equity
firms and other stakeholders on some of the
largest and most complex corporate and M&A
matters. Recent instructions include:
Swiss counsel to KKR and Alliance Boots
in the $16.2 billion strategic partnership of
Alliance Boots with Walgreens;
counsel to France Telecom in its Sfr2 billion
sale of Orange Switzerland to Apax;
counsel to Actelion in its proxy fight against
Elliott Advisors; and
counsel to OC Oerlikon in the sale of its
solar business to Tokyo Electron.
Dispute resolution
With a team of approximately 35 lawyers,
NKF represents clients in mission-critical
litigation before Swiss courts, as well as in
national and international arbitration. Recent
instructions include:
representing a car importer against alleged
product liability claims;
representing a former director against
liability claims brought by the bankruptcy
administrator in one of Switzerland’s largest
bankruptcy proceedings to date; and
defending a pre-eminent Swiss insurance
company against claims of a large group of
plaintiffs in Swiss courts and coordinating
the defence strategy in the United States
and elsewhere.
